Section 01

Introduction

Welcome to Niotah (“Niotah”, “the Platform”, “we”, “us”, or “our”), a curated digital environment dedicated to fostering collaboration, visibility, and meaningful exchange among artists, artisans, and creative practitioners.

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must refrain from using the Platform.

Section 02

Legal Framework & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute, claim, or controversy arising out of or in connection with these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of the UAE.

Section 03

Nature of the Platform

Niotah is provided as a free, access-based digital platform intended to:

  • Enable users to present their work
  • Facilitate connections between creatives
  • Encourage independent collaborations and cultural exchange

Niotah operates solely as a facilitator of interaction and does not:

  • Act as an employer, agent, broker, or representative of any user
  • Participate in, oversee, or enforce agreements between users
  • Guarantee the success, quality, legality, or outcome of any collaboration

All relationships and engagements formed through the Platform remain strictly independent and private between users.

Section 04

Eligibility & User Representation

By using Niotah, you represent and warrant that:

  • You are at least 18 years of age or have obtained appropriate legal consent
  • All information you provide is accurate, current, and complete
  • Your use of the Platform complies with applicable laws and regulations within the UAE and your jurisdiction

Niotah reserves the right, at its sole discretion, to suspend or terminate access where these conditions are not met.

Section 05

User Accounts & Security

Users are responsible for:

  • Maintaining the confidentiality of their account credentials
  • All activities conducted under their account
  • Promptly notifying Niotah of any unauthorized access or breach

Niotah shall not be liable for any loss or damage arising from failure to comply with these obligations.

Section 06

Intellectual Property & Content

Ownership

Users retain full ownership of all content they upload, including but not limited to artworks, designs, text, images, and media.

License to Niotah

By submitting content to the Platform, you grant Niotah a non-exclusive, worldwide, royalty-free, sublicensable license to:

  • Host, display, reproduce, and distribute such content
  • Use the content for promotional, editorial, and platform-related purposes

User Warranties

You represent and warrant that:

  • You own or have obtained all necessary rights to the content
  • Your content does not infringe any intellectual property, moral rights, or other rights of third parties

Niotah disclaims any responsibility for disputes arising from intellectual property claims between users.

Section 07

Collaborations & User Interactions

Niotah may provide tools to initiate and support collaborations; however:

  • Niotah is not a party to any agreement formed between users
  • Niotah does not mediate, supervise, or enforce collaboration terms
  • All negotiations, deliverables, timelines, and expectations are solely the responsibility of the users involved

Users are strongly encouraged to formalize agreements independently and exercise due diligence prior to engagement.

Section 08

Financial Matters

The Platform is currently offered free of charge.

Niotah:

  • Does not process or facilitate payments between users
  • Does not assume responsibility for any financial arrangements made externally

Should Niotah introduce paid features or services in the future, users will be duly notified, and additional terms may apply.

Section 09

Standards of Conduct

To preserve the integrity of the Platform, users agree not to:

  • Publish unlawful, harmful, defamatory, or inappropriate content
  • Engage in harassment, exploitation, or abusive behavior
  • Misrepresent identity, qualifications, or work
  • Upload or distribute content that is fraudulent, misleading, or infringing

Niotah reserves the right to remove content and restrict or terminate accounts at its sole discretion, particularly where required to comply with UAE law.

Section 10

Privacy & Data Use

Niotah collects and processes user data in accordance with applicable data protection regulations within the UAE.

By using the Platform, you consent to:

  • The collection and use of necessary data for platform functionality and improvement
  • The storage and processing of such data within secure systems

Niotah does not sell personal data to third parties without user consent.

Section 11

Third-Party Services

The Platform may incorporate or provide access to third-party services, links, or integrations.

Niotah shall not be responsible for:

  • The availability, performance, or reliability of such services
  • The content or practices of third-party providers

Use of such services remains at the user's own discretion and risk.

Section 12

Limitation of Liability

To the fullest extent permitted under applicable law, Niotah shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of profits, opportunities, or data
  • Disputes, failures, or outcomes arising from user collaborations
  • Unauthorized access, technical disruptions, or platform interruptions

Use of the Platform is undertaken at the user's own risk.

Section 13

Indemnification

You agree to indemnify, defend, and hold harmless Niotah, its affiliates, and its representatives from and against any claims, liabilities, damages, or expenses arising from:

  • Your use of the Platform
  • Your content or conduct
  • Any breach of these Terms

Section 14

Suspension & Termination

Niotah reserves the right to suspend or terminate access to the Platform at its sole discretion, including where:

  • These Terms are violated
  • User conduct poses a risk to the Platform or its community
  • Required by applicable law or regulatory authority

Users may discontinue use at any time.

Section 15

Modifications

Niotah reserves the right to amend or update these Terms at any time. Continued use of the Platform following such changes constitutes acceptance of the revised Terms.
